A nova a\u00e7\u00e3o foi apresentada por sindicatos de trabalhadores em regi\u00f5es onde a Embraer mant\u00e9m f\u00e1bricas.<\/p>\n<p><a href=\"https:\/\/www.suno.com.br\/noticias\/fusao-parceria-embraer-boeing-relembre\/\">Saiba mais: A fus\u00e3o de Embraer e Boeing: relembre o caso desde o in\u00edcio\u00a0<\/a><\/p>\n<p>A decis\u00e3o \u00e9 desta quarta-feira (19) e foi tomada pelo mesmo juiz que j\u00e1 havia concedido uma outra liminar para suspender a negocia\u00e7\u00e3o no in\u00edcio do m\u00eas. Naquela ocasi\u00e3o, Neto tinha analisado a a\u00e7\u00e3o movida por dois deputados federais. Mas aquela liminar acabou sendo derrubada pelo Tribunal Regional Federal da 3\u00aa Regi\u00e3o de S\u00e3o Paulo.<\/p>\n<p>Na \u00faltima segunda-feira (17), a Embraer informou que aprovou com a Boeing os termos do acordo anunciado em julho do ano passado. O acordo prev\u00ea a cria\u00e7\u00e3o de uma nova empresa (joint venture) de avia\u00e7\u00e3o comercial no Brasil.<\/p>\n<p>O novo neg\u00f3cio est\u00e1 sendo chamado de JV Avia\u00e7\u00e3o Comercial ou Nova Sociedade. Entretanto, este n\u00e3o ser\u00e1 o nome da empresa ap\u00f3s a conclus\u00e3o de opera\u00e7\u00e3o. A nova empresa \u00e9 avaliada em US$ 5,26 bilh\u00f5es. Inicialmente, quando as duas empresas assinaram um memorando, o valor era estimado em US$ 4,75 bilh\u00f5es.<\/p>\n<p>Nos termos do acordo, a fabricante norte-americana de aeronaves deter\u00e1 80% do novo neg\u00f3cio, enquanto a Embraer, os 20% restantes.<\/p>\n<p>A Boeing\u00a0pagar\u00e1 US$ 4,2 bilh\u00f5es (o equivalente a R$ 16,4 bilh\u00f5es), cerca de 10% maior que o inicialmente previsto. Este valor tamb\u00e9m supera em mais de 7% o valor de mercado da fabricante brasileira. O maior valor de mercado j\u00e1 registrado pela Embraer foi em novembro de 2015, quando a companhia atingiu R$ 22,39 bilh\u00f5es.<\/p>\n<p>Os 20% da fabricante brasileira poder\u00e3o ser vendidos para a Boeing a qualquer momento, por meio de uma op\u00e7\u00e3o de venda.<\/p>\n<p><a href=\"https:\/\/www.suno.com.br\/noticias\/parceria-maior-grupo-aviacao-mundo-presidente-embraer\/\">Saiba mais: Parceria criar\u00e1 o maior grupo de avia\u00e7\u00e3o do mundo, diz Embraer\u00a0<\/a><\/p>\n<p>Nesta quarta-feira, Giuzio Neto suspendeu novamente qualquer\u00a0<span style=\"font-size: 1.21429rem;\">ato concreto de decis\u00e3o da Embraer que concorde com transfer\u00eancia da parte comercial da empresa a outra empresa.<\/span><\/p>\n<p>O acordo ainda precisa ser aprovado pelo governo brasileiro, que \u00e9 dono de uma &#8220;golden share&#8221; na fabricante brasileira. Isso significa que o Pal\u00e1cio do Planalto tem poder de veto em decis\u00f5es estrat\u00e9gicas da empresa, como a transfer\u00eancia de controle acion\u00e1rio.<\/p>\n<p>Caso o governo aprove o neg\u00f3cio, o acordo ainda ser\u00e1 submetido \u00e0 aprova\u00e7\u00e3o dos acionistas e das autoridades regulat\u00f3rias.<\/p>\n<p>As duas empresas de avia\u00e7\u00e3o tamb\u00e9m chegaram a um acordo sobre os termos de uma segunda <strong>joint venture<\/strong> para promover e desenvolver novos mercados na \u00e1rea de defesa, envolvendo o avi\u00e3o multimiss\u00e3o KC-390.<\/p>\n<p>De acordo com a parceria, a Embraer ser\u00e1 a controladora desta nova empresa, com 51% de participa\u00e7\u00e3o, e a Boeing, os 49% restantes.
