A Embraer<\/strong> est\u00e1 negociando um acordo estrat\u00e9gico com a fabricante norte-americana de aeronaves Boeing<\/strong> desde julho de 2017. O objetivo \u00e9 criar uma joint venture no Brasil, chamada JV Avia\u00e7\u00e3o Comercial.<\/p>\n

O novo neg\u00f3cio de avia\u00e7\u00e3o comercial seria avaliado em US$ 5,26 e teria participa\u00e7\u00e3o de 80% da Boeing e 20% da Embraer. A Boeing far\u00e1 um aporte de US$ 4,2 bilh\u00f5es na nova empresa.<\/p>\n

Relembre o caso da fus\u00e3o entre Embraer e Boeing<\/h2>\n

Em 21 de dezembro de 2017, h\u00e1 quase um ano exato, o jornal americano Wall Street Journal divulgava que as fabricantes de aeronaves Embraer e Boeing negociavam uma fus\u00e3o.<\/p>\n

A not\u00edcia levou as a\u00e7\u00f5es da Embraer a dispararem cerca de 40% durante aquele dia. Fecharam em alta de 22,5% a R$ 20,20 (hoje est\u00e3o em R$ 21,55). O valor de mercado da empresa brasileira subiu R$ 2,7 bilh\u00f5es, atingindo R$ 14,8 bilh\u00f5es, conforme c\u00e1lculo da Economatica.<\/p>\n

O objetivo da uni\u00e3o era criar uma gigante global de avia\u00e7\u00e3o. Assim, poderiam fazer frente a uma uni\u00e3o semelhante entre Airbus e Bombardier.<\/p>\n

No dia seguinte, o presidente Michel Temer<\/strong> afirmou descartar a venda do controle da Embraer \u00e0 americana. O receio do governo era perder soberania, visto que a fabricante brasileira tem papel estrat\u00e9gico na \u00e1rea militar. “A participa\u00e7\u00e3o estrangeira na Embraer \u00e9 muito intensa, se nesta altura ampliasse a participa\u00e7\u00e3o estrangeira, tanto melhor. Mas n\u00e3o h\u00e1 a menor cogita\u00e7\u00e3o de vendermos o controle para outra empresa”, declarou o mandat\u00e1rio.<\/p>\n

Posteriormente, seria revelado que a proposta de associa\u00e7\u00e3o entre as fabricantes incluiria a divis\u00e3o de defesa da Embraer. N\u00e3o se restringia, portanto, \u00e0 \u00e1rea de avia\u00e7\u00e3o comercial. Por isso, o fato tornou a conversa mais sens\u00edvel, j\u00e1 que o governo havia afirmado descartar a perda do controle nacional da empresa.<\/p>\n

A Embraer justificou a negocia\u00e7\u00e3o por ser “estret\u00e9gica” e citou a uni\u00e3o entre Airbus e Bombardier como um dos motivos para sua fus\u00e3o com a Boeing. “A fim de permanecermos competitivos no mercado de fabrica\u00e7\u00e3o de aeronaves comerciais no longo prazo, devemos continuar a fazer melhorias tecnol\u00f3gicas, de efici\u00eancia e desempenho em nossas aeronaves”, declarou a fabricante.<\/p>\n

Negocia\u00e7\u00f5es avan\u00e7am<\/h2>\n

Em abril, ap\u00f3s meses de negocia\u00e7\u00e3o, as tratativas andaram mais rapidamente. O grupo de trabalho montado pelo governo federal, que envolvia os minist\u00e9rios da Defesa e da Fazenda, o BNDES e a FAB (For\u00e7a A\u00e9rea Brasileira), avaliou que os termos estavam melhores naquele momento do que quando propostos pela Boeing.<\/p>\n

Havia ainda um debate acerca do percentual de participa\u00e7\u00e3o de cada fabricante na nova empresa. A Boeing queria ter mais de 80% da joint-venture, enquanto a Embraer insistia em ficar com 20%.<\/p>\n

A Embraer e a Boeing anunciaram em 5 de julho um acordo preliminar para a sociedade comercial entre as duas gigantes. A americana se dispunha a pagar US$ 3,8 bilh\u00f5es por 80% da brasileira. “Esse acordo com a Boeing criar\u00e1 a mais importante parceria estrat\u00e9gia da ind\u00fastria aeroespacial, fortalecendo ambas as empresas e sua posi\u00e7\u00e3o de lideran\u00e7a do mercado mundial”, afirmou em comunicado o presidente e CEO da Embraer, Paulo Cesar de Souza e Silva.<\/p>\n

Os temores envolvendo a negocia\u00e7\u00e3o<\/h2>\n

Mas ainda havia alguma apreens\u00e3o. Sindicatos e o Minist\u00e9rio P\u00fablico do Trabalho manifestaram receio com a possibilidade de demiss\u00f5es. Temia-se que os servi\u00e7os de avia\u00e7\u00e3o comercial da Embraer fossem retirados do Pa\u00eds. Assim, gerariam preju\u00edzos como a perda do polo tecnol\u00f3gico at\u00e9 a extin\u00e7\u00e3o de cerca de 26 mil postos de trabalho. J\u00e1 que a fabricante brasileira n\u00e3o teria participa\u00e7\u00e3o nas decis\u00f5es estrat\u00e9gicas da nova empresa, todo o controle social e administrativo seria da Boeing.<\/p>\n

Em dezembro, o juiz da 24\u00aa Vara C\u00edvel Federal de S\u00e3o Paulo, Giuzio Neto, havia dado uma liminar para que fosse suspenso o acordo entre as \u00e1reas. Dias depois, o desembargador Luiz Alberto de Souza Ribeiro derrubou a liminar<\/a>, alegando que a invas\u00e3o do Judici\u00e1rio no neg\u00f3cio causaria inseguran\u00e7a jur\u00eddica.<\/p>\n

Por fim, o neg\u00f3cio com a Boeing<\/strong> ainda precisa ser aprovado pelo governo federal e pelos acionistas, mesmo ap\u00f3s a aprova\u00e7\u00e3o da fus\u00e3o pelo conselho da Embraer<\/strong>.
