A XP Investimentos estaria se preparando para processar o BTG Pactual. A a\u00e7\u00e3o da XP contra o BTG seria baseada em uma suposta viola\u00e7\u00e3o do acordo de confidencialidade.<\/p>\t

Segundo apurou o \u201cValor Econ\u00f4mico\u201d, o acordo teria sido assinado pelo banco quando foi contratado como um dos coordenadores da oferta inicial de a\u00e7\u00f5es da XP Investimentos<\/strong>.<\/p>\n

O acordo entre a XP Investimentos com o BTG Pactual<\/strong> foi assinado em 5 de dezembro de 2016. Naquele momento a XP come\u00e7ava a estruturar a oferta, e tinha validade de dois anos.<\/p>\n

O IPO deveria ter ocorrido em maio de 2017. Entretanto, foi cancelado porque a XP optou por vender uma fatia minorit\u00e1ria de seu capital ao Ita\u00fa.<\/p>\n

O Ita\u00fa naquele momento era um dos quatro coordenadores do IPO, ao lado de J.P. Morgan e Morgan Stanley.<\/p>\n

Para a XP, o BTG teria utilizado as informa\u00e7\u00f5es confidenciais a que sua \u00e1rea de banco de investimentos teve acesso para, a partir delas, estruturar a plataforma BTG Pactual<\/strong> Digital, concorrente da XP.<\/p>\n

Para a XP Investimentos<\/strong>, a estrat\u00e9gia do BTG de replicar a rede de distribui\u00e7\u00e3o da corretora baseada em agentes aut\u00f4nomos de investimento partiu desse arcabou\u00e7o de informa\u00e7\u00f5es.<\/p>\n

A compra da Network Partners, anunciada pelo BTG em junho deste ano, \u00e9 um dos elementos da disputa. A Network \u00e9 formada por ex-funcion\u00e1rios da XP, como Henrique \u201cXoulee\u201d Cunha, que foram respons\u00e1veis pela montagem da sua rede de agentes aut\u00f4nomos. Para a XP, a transa\u00e7\u00e3o \u00e9 mais um indicativo do cerco do BTG montado a partir das informa\u00e7\u00f5es confidenciais.<\/p>\n

Compra da Network Partners tamb\u00e9m na disputa<\/h2>\n

Outro elemento da disputa \u00e9 a compra da Network Partners, anunciada pelo BTG em junho deste ano. A Network \u00e9 formada por ex-funcion\u00e1rios da XP, como Henrique \u201cXoulee\u201d Cunha, que foram respons\u00e1veis pela montagem da sua rede de agentes aut\u00f4nomos.<\/p>\n

Para a XP, essa transa\u00e7\u00e3o \u00e9 mais um indicativo do cerco do BTG montado a partir das informa\u00e7\u00f5es confidenciais.<\/p>\n

No passado, XP e BTG foram institui\u00e7\u00f5es financeiras muito pr\u00f3ximas. Os fundos do BTG come\u00e7aram a ser distribu\u00eddos na plataforma da XP desde cedo. Andr\u00e9 Esteves, principal acionista do BTG, e Guilherme Benchimol, o s\u00f3cio-controlador da XP, se tornaram pr\u00f3ximos por volta de 2012.<\/p>\n

Benchimol era um admirador declarado de Esteves e por duas vezes, em 2013 e 2015, a XP convidou o banqueiro para fazer palestras no evento anual para agentes aut\u00f4nomos.<\/p>\n

Entretanto, recentemente apareceram sinais de estresse na rela\u00e7\u00e3o entre as duas institui\u00e7\u00f5es. Em 2019 a XP sinalizou a inten\u00e7\u00e3o de manter o mesmo sindicato de institui\u00e7\u00f5es contratado em 2016, excluindo o BTG Pactual.<\/p>\n

Em novembro, a XP desligou o agente aut\u00f4nomo One, de Belo Horizonte, alegando que a empresa vinha negociando com o BTG Digital.<\/p>\n

A XP tamb\u00e9m comunicou \u00e0 Comiss\u00e3o de Valores Mobili\u00e1rios (CVM) supostas falhas de conduta da One. Al\u00e9m disso, levantou suspeitas de que a empresa mineira teria compartilhado informa\u00e7\u00f5es confidenciais de clientes com o BTG. Por seu lado, One e BTG negaram as acusa\u00e7\u00f5es.<\/p>\n

Nas discuss\u00f5es da Associa\u00e7\u00e3o Brasileira de Agentes Aut\u00f4nomos de Investimentos (Abaai) para pedir mudan\u00e7as nas regras na instru\u00e7\u00e3o n 497, que disciplina a atividade desses profissionais, BTG e XP tamb\u00e9m ensaiam ficar de lados opostos.<\/p>\n
