cont\u00e1bil de R$ 97 milh\u00f5es no 3T20<\/figcaption>\n\t\t<\/figure>\n\t<\/div>\n\n\n\n\n\n\n<p>A decis\u00e3o do Banco BMG foi tomada de forma un\u00e2nime pelos conselheiros presentes na reuni\u00e3o e dispensa qualquer altera\u00e7\u00e3o estatut\u00e1ria.<\/p>\n\n\n\n<p>O <strong>aumento de capital do BMG<\/strong> prev\u00ea a capta\u00e7\u00e3o de at\u00e9 R$ 213.999.998,70, por meio da subscri\u00e7\u00e3o particular de novas <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"1\" href=\"https:\/\/www.suno.com.br\/artigos\/acoes-nominativas\/\" rel=\"noopener\">a\u00e7\u00f5es nominativas<\/a> e sem <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"1\" href=\"https:\/\/www.suno.com.br\/artigos\/valor-nominal\/\" rel=\"noopener\">valor nominal.<\/a> Para estruturar a transa\u00e7\u00e3o, o banco contratou o Ita\u00fa BBA Assessoria Financeira S.A. e a Ara\u00fajo Fontes Assessoria Estrat\u00e9gica Ltda. como assessores financeiros.<\/p>\n\n\n\n<p>O aumento de capital contempla a emiss\u00e3o de, no m\u00ednimo, 35.896.604 <strong>a\u00e7\u00f5es do BMG<\/strong> e, no m\u00e1ximo, 49.195.402 a\u00e7\u00f5es, ao pre\u00e7o de R$ 4,35 por papel.&nbsp;<\/p>\n\n\n\n\n\n\n<p>Desse total m\u00e1ximo, 31.588.852 a\u00e7\u00f5es ser\u00e3o ordin\u00e1rias e 17.606.550 ser\u00e3o preferenciais, estas \u00faltimas sem direito a voto.&nbsp;<\/p>\n\n\n\n<p>Com a conclus\u00e3o dessa opera\u00e7\u00e3o, o <strong><a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"2\" href=\"https:\/\/www.suno.com.br\/artigos\/capital-social\/\" rel=\"noopener\">capital social<\/a> do Banco BMG<\/strong> poder\u00e1 passar dos atuais R$ 3,792 bilh\u00f5es para at\u00e9 R$ 4,006 bilh\u00f5es, aumentando tamb\u00e9m o n\u00famero total de a\u00e7\u00f5es em circula\u00e7\u00e3o.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Detalhes do aumento de capital do BMG<\/h2>\n\n\n\n<p>A defini\u00e7\u00e3o do pre\u00e7o de emiss\u00e3o considerou a m\u00e9dia ponderada das cota\u00e7\u00f5es de fechamento das <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"1\" href=\"https:\/\/www.suno.com.br\/artigos\/acoes-preferenciais\/\" rel=\"noopener\">a\u00e7\u00f5es preferenciais<\/a> do banco nos dez preg\u00f5es anteriores \u00e0 aprova\u00e7\u00e3o da opera\u00e7\u00e3o, aplicando-se um des\u00e1gio de 12,68%.&nbsp;<\/p>\n\n\n\n<p>Os investidores que constarem na base acion\u00e1ria ao final do dia 29 de janeiro de 2026 ter\u00e3o direito de prefer\u00eancia na subscri\u00e7\u00e3o das novas a\u00e7\u00f5es, respeitada a propor\u00e7\u00e3o de 8,251258595% sobre a posi\u00e7\u00e3o acion\u00e1ria de cada tipo de papel.&nbsp;<\/p>\n\n\n\n\n\n\n<p>As a\u00e7\u00f5es passam a ser negociadas \u201cex-direito\u201d a partir de 30 de janeiro de 2026, data que tamb\u00e9m marca o in\u00edcio do per\u00edodo para exerc\u00edcio da prefer\u00eancia, que segue at\u00e9 2 de mar\u00e7o de 2026.<\/p>\n\n\n\n<p>Al\u00e9m de exercerem a prefer\u00eancia, os acionistas poder\u00e3o negociar ou ceder esses direitos, tanto em mercado de <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"3\" href=\"https:\/\/www.suno.com.br\/guias\/bolsa-de-valores\/\" rel=\"noopener\">bolsa de valores<\/a> quanto fora dela, de forma total ou parcial.&nbsp;<\/p>\n\n\n\n<p>Encerrado o prazo de prefer\u00eancia, haver\u00e1 a possibilidade de subscri\u00e7\u00e3o de eventuais sobras, com rateio proporcional entre os acionistas que manifestarem interesse pr\u00e9vio.&nbsp;<\/p>\n\n\n\n<p>O <strong>conselho de administra\u00e7\u00e3o do BMG <\/strong>poder\u00e1 homologar o aumento de capital de forma total ou parcial, desde que seja atingido o valor m\u00ednimo de R$ 156,15 milh\u00f5es, correspondente \u00e0 subscri\u00e7\u00e3o de ao menos 35.896.604 a\u00e7\u00f5es.<\/p>\n\n\n\n<p>Segundo o banco, o objetivo \u00e9 refor\u00e7ar a <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"1\" href=\"https:\/\/www.suno.com.br\/artigos\/indicadores-estrutura-capital\/\" rel=\"noopener\">estrutura de capital<\/a> do banco, com foco na melhoria do <a class=\"suno-keyword\" target=\"_blank\"
