De acordo com o comunicado feito pela <strong>SmartFit<\/strong>, o investimento poder\u00e1 alcan\u00e7ar R$ 100 milh\u00f5es, sendo que R$ 40 milh\u00f5es ser\u00e3o pagos no fechamento da transa\u00e7\u00e3o. O valor remanescente ser\u00e1 desembolsado em at\u00e9 dois anos, condicionado a metas previstas em contrato e corrigido pelo IPCA.<\/p>\n\n\n\n<p>O <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"1\" href=\"https:\/\/www.suno.com.br\/artigos\/enterprise-value-valor-da-firma\/\" rel=\"noopener\"><em>enterprise value<\/em><\/a> da opera\u00e7\u00e3o \u00e9 estimado em R$ 199,7 milh\u00f5es, valor sujeito \u00e0 apura\u00e7\u00e3o da <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"1\" href=\"https:\/\/www.suno.com.br\/artigos\/divida-liquida\/\" rel=\"noopener\">d\u00edvida l\u00edquida<\/a> da Evolve na data de conclus\u00e3o do neg\u00f3cio. A opera\u00e7\u00e3o ocorre por meio da emiss\u00e3o de novas a\u00e7\u00f5es da pr\u00f3pria Evolve, garantindo a entrada de recursos na companhia.<\/p>\n\n\n\n<p>A Evolve atua principalmente na regi\u00e3o Centro-Oeste, com maior presen\u00e7a no Distrito Federal. A rede opera 28 academias pr\u00f3prias e possui outras 7 unidades em constru\u00e7\u00e3o, ampliando o alcance em mercados considerados relevantes para o setor.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Veja detalhes dos proventos anunciados pela SmartFit (SMFT3)<\/h2>\n\n\n\n<p>Al\u00e9m da aquisi\u00e7\u00e3o, a companhia divulgou recentemente, ap\u00f3s o fechamento do preg\u00e3o de ontem, a aprova\u00e7\u00e3o do pagamento de <strong>JCP da SmartFit<\/strong>. O <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"1\" href=\"https:\/\/www.suno.com.br\/artigos\/conselho-administracao\/\" rel=\"noopener\">conselho de administra\u00e7\u00e3o<\/a> autorizou a distribui\u00e7\u00e3o de R$ 502.723.875,51 brutos, equivalentes a R$ 0,8417349145 por a\u00e7\u00e3o.<\/p>\n\n\n\n<p>O valor l\u00edquido a ser pago aos acionistas soma R$ 427.315.294,18, o que corresponde a R$ 0,715474677 por papel. O pagamento ser\u00e1 realizado em 13 de janeiro de 2026. Ter\u00e3o direito os investidores posicionados na data base de 5 de dezembro. A partir de 8 de dezembro, as <strong>a\u00e7\u00f5es SMFT3<\/strong> ser\u00e3o negociadas na condi\u00e7\u00e3o de ex <a class=\"suno-keyword\" target=\"_blank\" data-force=\"no\" data-priority=\"1\" href=\"https:\/\/www.suno.com.br\/artigos\/entenda-o-jcp\/\" rel=\"noopener\">juros sobre capital pr\u00f3prio<\/a>.<\/p>\n\n\n\n<p>A <strong>SmartFit (SMFT3) <\/strong>tamb\u00e9m recebeu aprova\u00e7\u00e3o para um aumento de capital privado.
