No \u00faltimo dia 5 de julho a empresa <a href=\"https:\/\/www.suno.com.br\/noticias\/hering-hgtx3-grupo-soma-soma3-incorporacao\/\">anunciou a compra da Hering (HGTX3)<\/a>.<\/p>\n<p>Um dos fundadores da marca Farm em 1997, Bastos era acusado pela CVM por poss\u00edvel irregularidade ao adquirir a\u00e7\u00f5es do Grupo entre 5 e 13 de outubro do ano passado, antes da divulga\u00e7\u00e3o de <strong><a class=\"suno-keyword\" href=\"https:\/\/www.suno.com.br\/artigos\/fato-relevante\/\" target=\"_blank\" rel=\"noopener\" data-force=\"no\" data-priority=\"1\">fato relevante<\/a><\/strong> sobre a aquisi\u00e7\u00e3o da <strong>grife digital <\/strong>de NV, da <strong>blogueira Nati Vozza<\/strong>, anunciada em 26 de outubro de 2020.<\/p>\n\t<p>\n\t\t<a href=\"\" target=\"_blank\" data-element=\"shortcode-suno-banner\" title=\"Banner SUNO, clique e saiba mais\">\n\t\t\t<picture>\n\t\t\t\t<source media=\"(max-width: 500px)\" srcset=\"\">\n\t\t\t\t<img class=\"newsContent__article__imgCapa newsContent__article__imgCapa--banner\"\n\t\t\t\t\tsrc=\"\"\n\t\t\t\t\tdata-promo-id=\"77053\"\t\t\t\t\t\t\t\t\t\t\t\t\t\t\talt=\"\"\n\t\t\t\t>\n\t\t\t<\/picture>\n\t\t<\/a>\n\t<\/p>\n\n\n<h2>Negocia\u00e7\u00e3o do memorando de entendimentos da aquisi\u00e7\u00e3o<\/h2>\n<p>Bastos comprou 189.800 a\u00e7\u00f5es ON da companhia, pelo total de R$ 1,89 milh\u00e3o. Segundo a \u00e1rea t\u00e9cnica da CVM, o<strong> executivo do Grupo Soma<\/strong> n\u00e3o participou da negocia\u00e7\u00e3o do memorando de entendimentos da aquisi\u00e7\u00e3o, mas teve conhecimento antecipadamente das informa\u00e7\u00f5es divulgadas no fato relevante de 26 de outubro.<\/p>\n<p>Para a <strong>\u00e1rea t\u00e9cnica da CVM<\/strong>, Bastos teria possivelmente descumprido o artigo 155 da Lei das Sociedades An\u00f4nimas (Lei 6.404\/76). Esse dispositivo veda ao administrador &#8220;usar, em benef\u00edcio pr\u00f3prio (&#8230;) as oportunidades comerciais de que tenha conhecimento em raz\u00e3o do cargo&#8221;.<\/p>\n<h2>Executivo do Grupo Soma teria descumprido instru\u00e7\u00e3o da CVM<\/h2>\n<p>O executivo do Grupo Soma tamb\u00e9m teria possivelmente descumprido a instru\u00e7\u00e3o CVM 358, que trata do uso de informa\u00e7\u00f5es privilegiadas.<\/p>\n\t<p>\n\t\t<a href=\"\" target=\"_blank\" data-element=\"shortcode-suno-banner\" title=\"Banner SUNO, clique e saiba mais\">\n\t\t\t<picture>\n\t\t\t\t<source media=\"(max-width: 500px)\" srcset=\"\">\n\t\t\t\t<img class=\"newsContent__article__imgCapa newsContent__article__imgCapa--banner\"\n\t\t\t\t\tsrc=\"\"\n\t\t\t\t\tdata-promo-id=\"89005\"\t\t\t\t\t\t\t\t\t\t\t\t\t\t\talt=\"\"\n\t\t\t\t>\n\t\t\t<\/picture>\n\t\t<\/a>\n\t<\/p>\n\n\n<p>Ap\u00f3s negocia\u00e7\u00f5es com o Comit\u00ea de Termo de Compromisso (CTC\/CVM), Bastos comprometeu-se a pagar a multa.
