Desta forma, determinou a imediata suspens\u00e3o da capta\u00e7\u00e3o por at\u00e9 30 dias. Caso a irregularidade n\u00e3o seja corrigida, a CVM poder\u00e1 cancelar a oferta em definitivo.<\/p>\n<p>A <strong>Divi Hub<\/strong> dever\u00e1 enviar comunica\u00e7\u00e3o para cada investidor que j\u00e1 tenha confirmado o investimento, permitindo a possibilidade de revoga\u00e7\u00e3o do investimento at\u00e9 o quinto dia \u00fatil ap\u00f3s o recebimento dessa informa\u00e7\u00e3o.<\/p>\n<p>A superintend\u00eancia tamb\u00e9m determinou que a plataforma publique imediatamente um comunicado ao mercado, informando a decis\u00e3o da suspens\u00e3o.<\/p>\n<p>De acordo com a CVM, o ofertante n\u00e3o \u00e9 considerado como sociedade empres\u00e1ria de pequeno porte (pela Instru\u00e7\u00e3o CVM 588), pois as SCP n\u00e3o s\u00e3o registradas em registro p\u00fablico. A CVM detalhou que o relat\u00f3rio de audi\u00eancia p\u00fablica SDM 06\/2016, que deu origem \u00e0 Instru\u00e7\u00e3o CVM 588, esclarece o requisito que a oferta n\u00e3o cumpre:<\/p>\n<p>&#8220;A exig\u00eancia de registro nas juntas comerciais tem a finalidade de excluir tipos societ\u00e1rios de natureza contratual, notadamente a sociedade em conta de participa\u00e7\u00e3o (&#8220;SCP&#8221;). Esse tipo societ\u00e1rio oferece riscos demasiadamente altos para os investidores como, por exemplo, uma separa\u00e7\u00e3o patrimonial clara entre o patrim\u00f4nio da sociedade e dos s\u00f3cios e a falta de formaliza\u00e7\u00e3o da sociedade, o que aumenta muito a chance de fraudes&#8221;.<\/p>\n<h2>CVM abre processo para avaliar disputa de Smart Fit com minorit\u00e1rios<\/h2>\n<p>De acordo com o <em>Valor<\/em> <em>Econ\u00f4mico<\/em>, a CVM abriu processo para avaliar por qual motivo a Smart Fit (SMFT3), n\u00e3o informou ao mercado sobre a disputa que trava na Justi\u00e7a com os s\u00f3cios.<\/p>\n\t<p>\n\t\t<a href=\"https:\/\/lp.suno.com.br\/planilha-da-vida-financeira\/\" target=\"_blank\" data-element=\"shortcode-suno-banner\" title=\"Banner SUNO, clique e saiba mais\">\n\t\t\t<picture>\n\t\t\t\t<source media=\"(max-width: 500px)\" srcset=\"https:\/\/files.sunoresearch.com.br\/n\/uploads\/2023\/04\/400x300-Planilha-vida-financeira-true.png\">\n\t\t\t\t<img class=\"newsContent__article__imgCapa newsContent__article__imgCapa--banner\"\n\t\t\t\t\tsrc=\"https:\/\/files.sunoresearch.com.br\/n\/uploads\/2023\/04\/1420x240-Planilha-vida-financeira-true.png\"\n\t\t\t\t\tdata-promo-id=\"106682\"\t\t\t\t\t\t\t\t\t\twidth='1420' height='240'\t\t\t\t\talt=\"https:\/\/files.sunoresearch.com.br\/n\/uploads\/2023\/04\/1420x240-Planilha-vida-financeira-true.png\"\n\t\t\t\t>\n\t\t\t<\/picture>\n\t\t<\/a>\n\t<\/p>\n\n\n<p>Os acionistas minorit\u00e1rios da empresa, que brigam na Justi\u00e7a, entendem ter o direito de participar da oferta e, por esse motivo, solicitaram o bloqueio de parte das a\u00e7\u00f5es.<\/p>\n<p>Os s\u00f3cios haviam solicitado \u00e0 <strong>CVM<\/strong> provid\u00eancias porque o documento n\u00e3o mencionava a briga. Eles tamb\u00e9m afirmam que existem supostas irregularidades no caixa da empresa, incluindo balan\u00e7o inflado.
