Juntas, as empresas valem R$ 4,85 bilh\u00f5es com base no<strong> valor de mercado corrente.<\/strong><\/p>\n<p>Segundo a JSL, somadas as opera\u00e7\u00f5es entre as empresas, a companhia combinada teria R$ 6,1 bilh\u00f5es de <strong><a class=\"suno-keyword\" href=\"https:\/\/www.suno.com.br\/artigos\/o-que-receita-bruta\/\" target=\"_blank\" rel=\"noopener noreferrer\" data-force=\"no\" data-priority=\"1\">receita bruta<\/a><\/strong> nos \u00faltimos 12 meses encerrados em mar\u00e7o. A conta leva em considera\u00e7\u00e3o as aquisi\u00e7\u00f5es em curso da JSL, e acarretaria em um crescimento em 86% da receita bruta da empresa no mesmo per\u00edodo.<\/p>\n\t<div data-element=\"shortcode-read-more\" class=\"knowMore\">\n\t\t\t\t<span class=\"knowMore__title\">Saiba mais <\/span>\n\t\t\t\t<a class=\"knowMore__link\" href=\"https:\/\/www.suno.com.br\/noticias\/jsl-jslg3-propoe-fusao-tegma-tgma3\/\">\n\t\t\tJSL (JSLG3) prop\u00f5e fus\u00e3o com Tegma (TGMA3), criando gigante de log\u00edstica\t\t<\/a>\n\t<\/div>\n\n\n<p>O <a href=\"https:\/\/www.suno.com.br\/artigos\/ebitda\/#:~:text=Ebitda%20(em%20ingl%C3%AAs%2C%20Earnings%20Before,mercado%20de%20bolsa%20de%20valores.\"><strong>Ebitda<\/strong> (lucro antes de juros, impostos, deprecia\u00e7\u00e3o e amortiza\u00e7\u00e3o)<\/a> ap\u00f3s a jun\u00e7\u00e3o com a Tegma, nos \u00faltimos 12 meses, seria de R$ 827 milh\u00f5es, um incremento de 105% sobre o Ebitda da JSL de forma isolada.<\/p>\n<p>Segundo o fato relevante arquivado na <a href=\"https:\/\/www.suno.com.br\/artigos\/cvm\/\">Comiss\u00e3o de Valores Mobili\u00e1rios (<strong>CVM<\/strong>)<\/a>, a proposta consiste no pagamento de R$ 989,06 milh\u00f5es em dinheiro, al\u00e9m da entrega de 49,42 milh\u00f5es de novas a\u00e7\u00f5es de emiss\u00e3o da <strong>JSL<\/strong>.
