A Infracoomerce<\/strong> (IFCM3), empresa de solu\u00e7\u00f5es digitais para o e-commerce, iniciou nesta ter\u00e7a-feira (13) o seu per\u00edodo de reserva de a\u00e7\u00f5es da sua oferta p\u00fablica inicial (IPO)<\/a> para os investidores de varejo. Uma das cl\u00e1usulas do processo, por\u00e9m, chama a aten\u00e7\u00e3o: a quantidade elevada, de 17% do capital, destinado a funcion\u00e1rios da empresa. As informa\u00e7\u00f5es s\u00e3o do jornal O Estado de S\u00e3o Paulo.<\/p>\t

A quantidade “normal” destinada a funcion\u00e1rios gira, comumente, pr\u00f3ximo a 5% do capital<\/strong>. O n\u00famero elevado gera temor de que quem investir nas a\u00e7\u00f5es pode ver seus pap\u00e9is dilu\u00eddos por conta da posterior entrada dos funcion\u00e1rios da Infracommerce.<\/p>\n

No IPO, a Infracommerce busca vender as suas a\u00e7\u00f5es entre o intervalo de pre\u00e7o de R$ 22 e R$ 28<\/strong>, com a defini\u00e7\u00e3o marcada para o pr\u00f3ximo dia 27 – a companhia \u00e9 vista como uma empresa que, provavelmente, conseguir\u00e1 se desviar da “m\u00e1 fase do mercado” e das v\u00e1rias desist\u00eancias, por conta do setor em que atua, que vem acelerando na pandemia da covid-19.<\/p>\n

J\u00e1 o pre\u00e7o para que os executivos da companhia exer\u00e7am o stock option<\/em> fica muito mais barato, na casa de R$ 1<\/strong>, e a possibilidade de exerc\u00edcio se d\u00e1 em at\u00e9 um ano.<\/p>\n

O processo de bookbuilding<\/em> Infracommerce est\u00e1 liberado para quem possua mais de R$ 3 mil para investir na companhia, sendo que o valor m\u00e1ximo para um aporte \u00e9 de R$ 1 milh\u00e3o. S\u00e3o 50 milh\u00f5es de a\u00e7\u00f5es prim\u00e1rias e 29,2 milh\u00f5es de a\u00e7\u00f5es secund\u00e1ria<\/a>s negociadas pela companhia – com a possibilidade ainda\u00a0 da coloca\u00e7\u00e3o de um lote adicional.<\/p>\n

A Infracommerce pretende utilizar os recursos levantados na oferta prim\u00e1ria para realizar potenciais aquisi\u00e7\u00f5es estrat\u00e9gicas, para investir em pesquisa e desenvolvimento e para pagar parte de suas d\u00edvidas.<\/p>\n

IPO da Infracommerce pode gerar valor ao Iguatemi<\/h2>\n

O Iguatemi (IGTA3)<\/a> informou nesta ter\u00e7a-feira (13) que vem investindo em um programa de Venture Capital desde 2019 e, entre as companhias que j\u00e1 receberam aporte estaria a Infracommerce.<\/p>\n

A rede de shoppings detem participa\u00e7\u00e3o indireta de cerca de 10% na Infracommerce<\/strong> e, para os analistas Renan Manda e Lucas Hoon, da XP Investimentos, o IPO pode destravar de 6% a 7% do valor de mercado do Iguatemi – o que gera uma vis\u00e3o positiva para a empresa.<\/p>\n
