comit\u00eas especiais independentes decidiram, ap\u00f3s analisarem a proposta da reorganiza\u00e7\u00e3o, que a incorpora\u00e7\u00e3o da <strong>CZZ<\/strong> pela Cosan ter\u00e1 a rela\u00e7\u00e3o de troca de 0,724072 a\u00e7\u00e3o da companhia listada na NYSE por cada a\u00e7\u00e3o da Cosan.<\/p>\n<p>Por sua vez, a incorpora\u00e7\u00e3o da<strong> Cosan Log<\/strong> envolve a rela\u00e7\u00e3o de troca de 3,943112 a\u00e7\u00f5es da companhia dona da Rumo, por cada a\u00e7\u00e3o da Cosan.<\/p>\n<p>O documento, a ainda destacou que &#8220;com o encerramento formal das negocia\u00e7\u00f5es entre os Comit\u00eas Independentes, os Conselhos de Administra\u00e7\u00e3o das Companhias ser\u00e3o convocados a fim de deliberarem sobre as Incorpora\u00e7\u00f5es e a convoca\u00e7\u00e3o das respectivas assembleias, t\u00e3o logo a documenta\u00e7\u00e3o completa seja entregue pelos respectivos assessores&#8221;.<\/p>\n\t<p>\n\t\t<a quem em meados de julho, a Cosan informou ao mercado que estava avaliando uma proposta de<strong> reorganiza\u00e7\u00e3o societ\u00e1ria<\/strong> que consolidaria a companhia como a \u00fanica <a href=\"https:\/\/www.suno.com.br\/artigos\/holding\/\">holding do grupo<\/a>.<\/p>\n<p>Na \u00e9poca, a companhia explicou que a &#8220;reestrutura\u00e7\u00e3o societ\u00e1ria tem como objetivo simplificar a estrutura do Grupo Cosan, unificando e consolidando os diversos <a href=\"https:\/\/www.suno.com.br\/artigos\/free-float\/\">free floats<\/a> das Companhias, aumentando a liquidez de seus valores mobili\u00e1rios, bem como destravando valor que existe dentro do Grupo&#8221;.<\/p>\n<h2>Cosan no 3T20<\/h2>\n<p>A Cosan anotou <a href=\"https:\/\/www.suno.com.br\/artigos\/lucro-liquido\/\">lucro l\u00edquido<\/a> de R$ 304 milh\u00f5es entre julho e setembro desse ano, uma queda de 63% na compara\u00e7\u00e3o anualizada.<\/p>\n<p>A companhia explicou que &#8220;o resultado inferior no per\u00edodo reflete, principalmente, o efeito negativo da marca\u00e7\u00e3o a mercado das a\u00e7\u00f5es da <strong>Rumo<\/strong> e menor rendimento de aplica\u00e7\u00f5es financeiras, bem como redu\u00e7\u00e3o no<strong> lucro l\u00edquido<\/strong> da Ra\u00edzen Energia e Compass&#8221;.<\/p>\n<p>A <strong><a href=\"https:\/\/www.suno.com.br\/artigos\/o-que-receita-liquida\/\">receita l\u00edquida<\/a><\/strong> da companhia no terceiro trimestre deste ano ficou em R$ 17,550 bilh\u00f5es. O montante representa uma queda de 6,9% em compara\u00e7\u00e3o ao mesmo per\u00edodo em 2019, quando o indicador somou R$ 18,861 bilh\u00f5es.<\/p>\n\t<div data-element=\"shortcode-read-more\" class=\"knowMore\">\n\t\t\t\t<span class=\"knowMore__title\">Veja tamb\u00e9m<\/span>\n\t\t\t\t<a class=\"knowMore__link\" href=\"https:\/\/www.suno.com.br\/noticias\/cosan-csan3-oferta-de-acoes-controladas\/\">\n\t\t\tCosan (CSAN3) reitera inten\u00e7\u00e3o de realizar oferta de a\u00e7\u00f5es de controladas\t\t<\/a>\n\t<\/div>\n\n\n<p>A Cosan Log\u00edstica, por sua vez, apresentou uma queda na base anual de 63,2% no <a href=\"https:\/\/www.suno.com.br\/artigos\/lucro-liquido\/\">lucro l\u00edquido<\/a> referente ao terceiro trimestre de 2020, que ficou em R$ 37 milh\u00f5es no per\u00edodo ante aos R$ 101 milh\u00f5es apurados no mesmo intervalo de 2019.<\/p>\n<p>A sua\u00a0 <a href=\"https:\/\/www.suno.com.br\/artigos\/receita-liquida-operacional\/\">receita operacional l\u00edquida<\/a>, por sua vez, totalizou R$ 2,053 bilh\u00f5es, est\u00e1vel em rela\u00e7\u00e3o ao terceiro trimestre de 2019, com uma leve queda de 0,3%, refletindo a queda na receita de transporte ferrovi\u00e1rio em fun\u00e7\u00e3o do aumento de 1,0% no volume com diminui\u00e7\u00e3o de 4,2% na tarifa; o aumento de 37% no volume de eleva\u00e7\u00f5es; e o aumento de 103% no volume de solu\u00e7\u00e3o log\u00edstica, dado o mercado favor\u00e1vel para o a\u00e7\u00facar.<\/p>\n<h2>\u00daltima cota\u00e7\u00e3o<\/h2>\n<p>Por volta das 16h50, a\u00e7\u00f5es da <strong>Cosan (CSAN3)<\/strong> operavam em queda de 0,08%, aos R$ 76,11.
